Attention: please read these terms of use ("terms") carefully before using this Canon E-Store platform website ("the site"). Using the site confirms that you have read, understood and accepted these terms applicable on the usage of Canon E-Store platform. You are not authorized to use this site, if you do not agree with these terms. These terms govern your use of the site, any content (such as text, data, information, software, graphics, or photographs) that Canon India Private Limited (hereinafter referred as "Canon") may make available through the site (hereinafter collectively referred, "materials") and any products that Canon may make available through its Dealers on the site (hereinafter collectively referred, "services"). Please note that Canon does not make any direct offer for sale/ sale to the customer through the site, but all sale is through/by its authorised Dealers. The site, materials on the site, and services provided through the site are referred to in these terms and conditions are collectively referred as the "Canon E-Store” websites. Canon through the site allows sale of Canon branded products, by authorized dealers of Canon (hereinafter referred as Seller or Sellers as the case may be). The site may be referred hereinafter as Canon E-Store /Canon Online Store) and shall be subject to the notices, terms, and conditions set forth herein. In addition, when you use any Canon E-Store service, you may be subject to the rules, guidelines, policies, terms and conditions applicable to such service, that may be incorporated by reference. Canon reserves the right to change the services provided through the Canon Online Store and/or these terms and conditions at any time at its sole discretion. Canon retains the right to deny access to anyone who it believes has violated these terms and conditions. Seller(s) shall list Canon branded products only on the Canon E-Store and shall be only responsible for accepting your / customer (s) orders, collecting payments and supplying the listed ordered products.

Disclaimer
This Canon E-Store is provided "as is" basis and the entire risk of usage as to the quality, fault and performance of the Canon E-Store is with you. Canon expressly disclaims all warranties of any kind, whether express or implied, with respect to the Canon E-Store (including, but not limited to, any implied or statutory warranties of merchantability, fitness for a particular use or purpose, title, and non-infringement of intellectual property rights). Without limiting the generality of the foregoing, Canon makes no warranty that the Canon E-Store will meet your requirements or that the Canon E-Store will be uninterrupted, timely, secure, or error free or that faults, if any in the Canon E-Store will be remedied. Canon makes no warranty as to the results that may be obtained from the use of the Canon E-Store or as to the accuracy or reliability of any information obtained through the Canon E-Store. No advice or information, whether oral or written, obtained by you through the Canon E-Store or from Canon, its holding, subsidiaries, or other affiliated companies, or their suppliers (or the respective officers, directors, employees, or agents of any such entities) (collectively, "the Canon parties") shall create any warranty. Canon disclaims all equitable indemnities.

Role of Canon and Seller
The Canon E-Store is developed, maintained and updated by Canon. The process of payment authorization and receipt, order acceptance and fulfilment, and other physical portions of a transaction including logistics of your ordered products etc. are managed by the respective Seller listing the product on Canon E-Store. Seller shall be solely responsible for fulfilment of all orders successfully placed through the Canon E-Store including but not limited to invoicing, payment processing and product delivery/replacement to customers. In no event shall Canon, its group companies, affiliates, directors, officers, agents, consultants or employees etc. be liable for any purchases made through the Canon E-Store. You hereby to the fullest extent permissible waive any and all claims that you may have against Canon and its Representatives arising as a result of or in relation to the Canon E-Store or purchases made through the Canon E-Store including, inter-alia, claims relating to payment and delivery / replacement of the products.

Use of the Canon E-Store
Certain areas of the Canon E-Store (e.g., ratings, chat and review functionalities) shall allow you to submit information, text, data, feedback, messages, or other relevant materials (each, a "User Submission"). By completing a User Submission, you grant to Canon perpetual, irrevocable, transferable, worldwide, non-exclusive, royalty free license (sub-licensable by Canon to multiple tiers) to (a) use, modify, distribute, reproduce, adapt, modify, publish, translate, and publicly display any User Submissions (or any modification therein ), in fully or in part, in any form or medium currently in existence or later developed and (b) use (and allow others to use) User Submission in manner and for purpose suitable to them (including but not limited to, commercial purposes) that Canon deems considers fit in its sole discretion (including, but not limited to, to incorporate your User Submission (with or without modification thereto, fully or partially, into any product or service). Canon may use User Submissions for advertising and promotional purposes and reserves the right to make advertisements related to User Submissions. Canon may or may not, pre-screen User Submissions or monitor part of Canon E-Store through which User Submissions submitted by you. You will be responsible for the User Submissions made by you. Canon is not required to display, host, or distribute any User Submissions on or through the Canon E-Store. Canon may remove or refuse any User Submissions for any reason whatsoever. Canon is not responsible or liable for loss, theft, or damage of any kind to any User Submissions. Canon does not want to collect any User Submission that is confidential in nature. You understand and agree that all User Submission shall be considered non-confidential and non-proprietary and accordingly Canon will be free to disclose User Submission to any third party. Canon does not undertake that you will have any recourse to edit or delete any User Submission through canon or any third party. By submitting any User Submission on Canon E-Store, you represent, warrant and undertake that:

• You are at least 18 years old;

• You own all rights in the User Submissions from your side (including, but not limited to all rights to the video, audio, or digital recording and any performance contained in User Submissions) or, you have all necessary rights in your User Submissions to grant to Canon all the rights in the User Submissions described herein;

• You have obtained permission from each person (to grant the rights to Canon described herein) pictured and/or heard in your User Submissions (including consent from guardians or parents for any individual of age less than eighteen (18)) who is photographed or heard in your User Submissions;

• Your User Submissions do not infringe the trademark, copyright, patent, trade secret, or other intellectual property rights, privacy rights, moral rights or any other legal rights of any third party; you hereby agree to waive all your "moral rights" in your User Submission;

• You undertake that any information contained in your User Submission is not false, misleading or inaccurate;

• Your User Submission is not in violation of any Law (including, but not limited to the laws governing export control, consumer protection, anti-discrimination, unfair competition or false advertising);

• Your User Submission must not defamatory, libelous, hateful, religiously, racially, ethnically, or otherwise biased or offensive, unlawful, threatening, harassing to any individual, partnership, or corporation. Your User Submission should not be vulgar, pornographic, invasive to privacy or obscene;

• You undertake that you have not been compensated or paid any consideration by any third party for User Submission from your side;

• You have not incorporated in your User Submission materials from a third-party web site, contact information or addresses, email addresses, phone numbers (other than your own);

• You undertake that there are no viruses, spyware, worms, adware, or other potentially damaging files or programs in your User Submission;

Any information that you consider confidential, proprietary, or personal should not form part User Submission; and
User Submission by you should not contain or constitute any illegal material, unsolicited or unauthorized advertising, any promotional materials, chain letters, junk mail, spam, pyramid schemes, or any other form or kind of solicitation.

Your Account
You are solely responsible to keep the confidentiality of your account and password and other sensitive information related to your account in respect of the Canon E-Store.

Trademarks
Canon product or service name or slogan or logo contained in the Canon E-Store are trademarks of Canon Inc. Japan and shall not be copied, imitated, or used, in whole or in part, without the prior written permission of Canon or the applicable trademark owner. Ownership of all such trademarks and the goodwill associated therewith remains with Canon or the applicable trademark owner. You shall not use any metatags or any other "hidden text" utilizing any name, trademark, or product or service name of Canon without Canon's prior written permission. In addition, the look and feel of the Site (including all page headers, custom graphics, button icons, and scripts), the service mark, trademark of Canon and shall not be copied, imitated, or used (in whole or in part) without Canon's prior written permission. Reference to any products, services, processes, or other information, by trade name, trademark, or otherwise does not constitute or imply endorsement, sponsorship, or recommendation thereof by Canon.

Errors
Neither Canon nor Seller(s) undertakes that the information on the Canon E-Store is correct or accurate at all times. In the event of information regarding a product being found incorrect due to any reason whatsoever, Seller shall have the right to refuse or cancel any orders placed for such product(s). If your credit card/Debit card/ Bank account has already been charged for such a cancelled order, Seller shall issue a refund of the transaction through your original mode of payment for the original amount paid within ………. Working days.

Right to Modify
Canon may, in its sole and absolute discretion, change these Terms from time to time. Canon will post notice of such changes on the Canon E-Store. In case you are not agreeable to any such changes, your sole remedy shall be to cease using the Canon E-Store. Continued use of the Canon E-Store post notice of any such changes shall indicate your acknowledgement of such changes and acceptance to be bound by such changes in terms and condition. Certain provisions of these Terms may be superseded by expressly designated legal notices or terms located on particular pages of the Canon E-Store and, in such circumstances, the expressly-designated legal notice or term shall be deemed to be incorporated into these Terms and to supersede the provision(s) of these Terms that are designated to be superseded.

Order Placement
You can place orders from any of the products listed on the Canon E-Store. Acceptance of your order is subject to both payment receipt as well as stock availability. Seller however reserves its right to accept or refuse any order/s of any customer without providing any reason/s whatsoever. After receiving the payment, order number shall be generated which shall appears as a message after payment processing. Order number will also be mailed to the email ID provided. Seller will initiate the status of order processing stages after payment receipt. Orders once placed with confirmed payment cannot be cancelled by you/ customer. Payment for Order placement:
You can use various facilities, namely Credit /Debit card payment through payment gateways, EMI offers through select banks, Net banking available on the site for making payments. In case of use of internet banking facilities, Credit or Debit Cards to make payments, information provided by you shall be secured through use of 128 bit Secure Socket Layer ("SSL") technology. You agree, understand and confirm that the credit / Debit card / net banking used for placing the order is lawfully owned or possessed by you and that you shall not pay or attempt to pay for Product(s) using a third party / fraudulent credit / Debit card information/ third party net banking. Seller confirms that it shall take reasonable measures to ensure security of the information and shall also ensure that information will not be shared with third parties, unless it is required for fraud verifications purposes or required by law, regulation or court order. Neither Canon nor Seller shall be liable for any credit / Debit card/ Net banking fraud, if any.

Payment Gateway
Billdesk is Canon E-Store payment partner providing with a payment gateway. All online transactions will be routed through Billdesk as our payment partner. Upon successful transaction, the payment partner will collect and remit the money to Seller. Seller upon receiving the payment will initiate order processing. Canon shall not be under any circumstances be responsible for any payment related issue. Payment gateways partner shall collect the payment solely on behalf of respective Seller listing the product and any dispute related to payment and refund shall be the responsibility of the payment gateway service provider and respective Seller.

Order Fulfilment
Seller will initiate processing your order upon successful payment receipt. If there are any issues such as incomplete address, payment amount does not tally with order value, stock not available for some of the products ordered out of the complete ordered quantity and/or any such issues that could potentially delay the delivery, such orders will be managed by Seller. Seller will call or mail you to inform the issues. Only upon resolving the issues, the order will be processed.

No warranty or replacement for Consumables
In case of any Consumable(s) purchased from any Seller listed on the Canon E-Store, there shall not be having any warranty including warranty for fitness for the purpose and no-exchange shall be permitted, except in the case of Dead on arrival product, provided you report to the Seller within 12 hours of the delivery of such product. Under these terms and conditions “Consumable(s)” shall mean the item(s) which are used for regular functioning of any Canon product(s) including but not limited to battery, toner, toner cartridge, ink-bottle, ink cartridge.

Delivery of Products
Seller will initiate the dispatch of product(s) through courier, postal or other means of transport as deemed fit, in original packing for product(s). However, in case of select products where additional packaging is required to secure the product from transit damage, Seller may take necessary steps. The Customer shall receive and accept the product(s) if the ordered product(s) are delivered without material physical damage to the original product packaging. Non-acceptance of goods for any reasons other than above stated will be considered as order cancellation and cancellation charges as applicable will be levied. Courier will make two attempts to deliver the product(s) in a span of 7 days. If the premises of customer is locked or if the nominated recipients are not available, it will be treated as undeliverable, and the courier will initiate return of goods to Seller as for the purpose of refund, it will be treated as if Customer does not need the product after ordering the same and accordingly the cancellation charges will apply.

Canon Product Warranty
All the materials and products (including but not limited to software) and services, included on or otherwise made available to you through the Canon E- Store shall be covered by standard product warranty offered by Canon, if any. The products are being provided on "as is" basis and "as available" basis without any warranties or representation, either express or implied unless otherwise specified in writing. Nothing on the Canon E-Store constitutes, or is meant to constitute, advice of any kind and you are requested to perform independent analysis before ordering the products. In case of any manufacturing defect that is identified during the Warranty period, the customer should contact the Canon Authorized Service Centre with the following details:
Details of the product owner, ticket number or invoice, product code, product serial number and the symptoms associated with the malfunction. If you transfer a product to another user, warranty service will be available to that customer for the remainder of the warranty period.

Customer Communication
Canon may communicate with you about your experience of your order and the purchased Product through any of the mode using email, SMS and telephone. You are requested to provide your valid email address and telephone and/ or mobile number while registering at Canon E-Store. You hereby provide consent to Canon, Seller and payment gateway partner, logistics/courier and any person working on their behalf to contact you through email, SMS, voice call or any other mode of communication that you use in your smartphone. Canon may also contact you directly, through any seller or third-party partner about the feedback on product performance, offer any guidance on product usages, annual maintenance of the product, extended warranty of the product, consumable, batteries and accessories of the product. You understand and agree that you are providing consent to receive such email, SMS, voice call etc. under above provision of this paragraphs is due to the fact that you have initiated a transaction on Canon E-Store , therefore these communications will be considered transactional communication and you authorize Canon for these communications irrespective of your mobile number being registered on DO Not Call list of the Telecom regulatory Authority of India or not. You further undertake that you will not make any complain or claim against Canon before any telecommunication service provider or Telecom regulatory Authority of India about these Communications.
In case you do not want to receive any communication from Canon about new Canon offerings/ products, then you are requested to actively opt out by selecting the appropriate option while registering yourselves on the Canon E-Store. Please note that customers registered with DO NOT CALL list of the Telecom regulatory Authority of India will not be contacted by Canon telephonically for new Canon offerings.
When you visit the Canon E-Store or send e-mails to Canon, you are communicating with Canon electronically. We may respond to you by e-mail or by posting notices on the Canon E-Store. You agree that all such disclosures, notices, and other communications provided by Canon provides to you electronically shall be deemed to satisfy the legal requirement of such communications being in writing.

Data protection and Confidentiality
Canon E-Store follows data protection and confidentiality requirements under the Indian laws only and no compliance with any other law is promised while you access Canon E-Store . Any foreign national transacting on the Canon E-Store shall transact at his/her own sole decision and waives all his/her rights/ claims available under any foreign law including but limited to European General Data Protection Regulation and the Indian governing law on the subject shall be/have the final applicable law /authority.

Intellectual Property Rights

Ownership:
All content on the Canon E-Store, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of Canon India Private Limited/ Canon Inc. Japan as applicable or its content suppliers and is protected by Indian and international copyright, trademark, patent, Design and other intellectual property laws.
Trademarks:
The trademarks, logos, and service marks displayed on the Canon E-Store are the registered and unregistered marks of Canon Inc. Japan and its affiliates/ group companies. Nothing contained on the Canon E-Store should be considered as granting, by estoppel, implication, or otherwise, any license or right to use any trademark without written prior written permission of Canon Inc. Japan or its group companies or such third party that may own the trademarks.
Use of Content:
You shall not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Canon E-Store without the prior written consent of Canon India Private Limited.
User Submissions:
By submitting any content (including but not limited to reviews, comments, and suggestions) to the Canon E-Store, you grant Canon a non-exclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, modify, publish, translate, adapt, create derivative works from, display and distribute such content in any media throughout the world. You also grant Canon the right to use the name that you submit in connection with such content, if they choose.
Infringement Claims:
Canon respects the intellectual property rights of others. If you have reason to believe that your work has been copied in any manner that constitutes copyright infringement, please contact our Legal Department.
Prohibited Actions:
Users and Sellers are prohibited from using the Canon E-Store to infringe upon the intellectual property rights of others. This includes, but is not limited to, uploading, posting, or otherwise transmitting any content that you do not have a right to transmit under any law or under contractual or fiduciary relationships.

Limitation of Liability
The liability, if any, of Seller and Canon towards a user under this Agreement shall be limited to the amount payable by User to the Seller. Neither Seller nor Canon shall be liable for any indirect, special or consequential loss or costs or damages of whatever nature, including but not limited to, lost revenues or profits, downtime costs, loss or damage to data or other intangible losses, arising out of or in any way connected with the use of Canon E-Store, Products and/ or the services and/ or the transaction on Canon E-Store or with the delay or inability to use Canon E-Store, or for any information, materials and/ or Products uploaded, posted, emailed, transmitted and/ or obtained through Canon E-Store , or otherwise arising out of the use of Canon E-Store, whether based on contract, tort, negligence, strict liability or otherwise. This provision does not limit either party's liability for unauthorized use of intellectual property of any party including third party , nor any liability which may not be excluded or limited by applicable law.

Personal, Non-Commercial & Non assignable Use
By registering on Canon E-Store, User confirms that use of Canon E-Store shall be for his/her personal purpose and not for any commercial purpose. User confirms that User's right to access, use, deal with or transact at the Canon E-Store cannot be assigned to any other person and custody of User ID and Password to access, deal with or transact at Canon E-Store shall be sole responsibility of User and User shall be responsible and liable for any misuse of User ID and Password assigned to User by Canon.

Indemnity
User shall at all times fully indemnify and hold harmless Canon, Seller, their officers, directors, agents, employees, and associate/group companies, from any and all costs, losses, claims, demands, damages and liabilities, actions including costs and reasonable attorneys' fees, made by any third party and/or penalty imposed, due to and/or arising out of breach/violation by User of these Terms & Conditions, any law, rules or regulations and breach by User of the rights of a third party and/or the infringement by User including but not limited to breach of any intellectual property right, copyright and trademark infringement, on-line defamation, obscene and/or indecent postings, and/or any third party using account of User.

Governing Law and Jurisdiction
Access of Canon E-Store and transactions on Canon E-Store shall be exclusively construed, interpreted, governed by, and enforced according to the laws of India and shall be subject to exclusive jurisdiction of the courts of Delhi.

Force Majeure
Seller and Canon shall not be liable in case of any failure and/or delay in performing any obligation under these terms and conditions and/or for any costs, loss, damage, and expenses suffered and/or incurred by the User/customer if such failure or delay arises due to Force Majeure Event set out herein. For the purpose of these terms and conditions "Force Majeure Event" shall mean any event arising due to any reason beyond the reasonable control of Seller and/or Canon including, but not limited to failure of any communication system, acts of God, fire, flood, earthquake, epidemic, pandemic, civil commotion, sabotage, strikes, lockout, explosion, and/or industrial action of any kind, breakdown of public transportation facilities, insurrection, hostilities whether war declared or not, riots, acts of government, hacking of the Website, government orders or restrictions breakdown and/or hacking of contents provided for buying the Product(s) and/or availing services under Canon E-Store, such that it becomes commercially unviable to perform the obligations under these terms and conditions, or any other cause or circumstances beyond the reasonable control of Canon and/or Seller which affects timely fulfillment of obligation by Canon and/or Seller.

Refund
If the payment was made by Credit/Debit card, Net-Banking or any other permitted mode, Seller shall refund the money in your source Credit/Debit Card, Net-Banking account or such permitted mode. Generally, refunds are processed within _______ working days after the day Seller initiates refund.

GST compliance

• If you are GST registered person and want to take GST credit, please provide correct GST detail failing which any loss to input credit shall at your sole cost and risk.

• If you have not provided OR provided wrong GST information, Seller shall not be responsible for loss of GST credit to you.

• Providing wrong billing and shipping address (which is not mentioned on your GST certificate) may result in GST credit loss to you.

• No claim for GST credit loss will be entertained due to above reasons. Neither Canon nor Seller shall be responsible because of GST credit loss due to above reasons.
